Transaction Advisory Services

Katmo Group supports business sales and acquisitions through financial preparation and commercial negotiation. You can engage us for a specific assessment or for support across the transaction process.

Our work addresses the information a counterparty will need and the terms the client must evaluate. Separate valuation and market entry assignments provide a basis for decisions before a sale or purchase process is under way.

Sale Advisory

A sale process starts with establishing the business or interest being offered. Katmo Group helps owners define the proposed transaction and organise the information needed to explain its financial performance to prospective purchasers.

That preparation gives buyer discussions a consistent starting point. It also identifies questions that require attention before the business is presented externally.

Preparing The Financial Case

We examine historical results alongside management's forecasts and identify material movements that a buyer is likely to question. The work includes considering the explanation for changes in earnings and whether the figures describe the activities included in the sale.

Where the proposed transaction concerns part of a business, we assess the financial information available for that part. Shared costs or dependencies on the wider company are identified for further examination.

Business presentation
Prepare an account of the activities being sold and the financial information supporting it.
Supporting records
Organise the material needed to substantiate the presentation and respond to initial enquiries.
Outstanding questions
Identify gaps that could affect a purchaser's assessment or delay later discussions.

Engaging Buyers and Assessing Proposals

Katmo Group researches potential purchasers and considers the commercial reasons they could have for acquiring the business. The proposed approach is discussed with the seller, including which parties to contact and the information appropriate to those discussions.

As offers develop, we compare their financial terms on a consistent basis. This includes identifying the portion payable at completion and any later payments, together with the conditions attached to receiving them.

The comparison also addresses the obligations an offer would leave with the seller. A requirement to remain involved in management, for example, needs to be considered alongside the proposed financial return.

We support the seller through subsequent negotiations and assess the effect of amendments to the proposal. During diligence, Katmo Group helps organise responses to buyer questions and brings issues affecting the commercial terms back into the discussion.

Acquisition Advisory

Katmo Group helps companies pursue acquisitions with a defined investment rationale. The work can begin with a search for suitable businesses or an assessment of a target the buyer has already identified.

We translate the acquisition objective into criteria against which candidates can be assessed. These criteria establish the relevance of a potential purchase and the questions that need investigation before an offer is developed.

Assessing the Target

The financial assessment examines how the business has generated its reported earnings and what the proposed investment assumes about future performance. We identify items requiring explanation and consider the resources needed to sustain the activities being acquired.

Expected benefits from combining the businesses receive separate attention. Where the investment case depends on cost savings or additional revenue, Katmo Group examines the assumptions behind those benefits and the expenditure needed to achieve them.

Operating performance
Assess the sources of earnings and the reasons for material changes over time.
Cash requirements
Examine working capital and planned investment relevant to the purchase assessment.
Buyer-specific assumptions
Identify benefits that depend on the purchaser's own plans and ability to carry them out.
Further investigation
Set out the questions that should be addressed through specialist diligence.

From Assessment to Offer

Katmo Group helps develop the proposed price and payment structure in light of the findings. The work identifies matters that remain open and the conditions the buyer wishes to attach to proceeding.

As diligence progresses, we consider how new information affects the financial case. An issue can call for further investigation or a change to the commercial proposal, and the buyer needs to understand the implications before negotiating a response.

The assignment keeps the purchase terms connected to the underlying assessment. It also identifies financial commitments expected after completion so that the acquisition decision accounts for the investment that follows the purchase itself.

Business Valuation

A valuation assignment begins with defining the interest to be assessed and the purpose for which the result will be used. Katmo Group establishes the relevant date and the information available to support the work.

Valuing an entire business and assessing a particular shareholding can involve different considerations. We define that scope at the start and explain the basis on which the analysis proceeds.

Establishing the Financial Inputs

The assessment examines the earnings attributable to the business and the reasons for any proposed adjustments. Where forecasts form part of the analysis, we consider the operating assumptions and the expenditure needed to support them.

Katmo Group explains the selected valuation approach and the financial measures used. The treatment of cash and debt is set out where relevant, so the client can follow how the assessment relates to the interest under consideration.

Interpreting the Assessment

The findings present a value or range together with the assumptions used to derive it. Sensitivity analysis tests alternative inputs, such as a change in expected margins, to identify how the conclusion responds.

This allows the client to distinguish the effect of a change in the business outlook from a change in the proposed transaction terms. It also gives shareholders a financial reference for discussing a transfer of ownership.

Valuation basis
The subject and date of the assessment, with an explanation of the approach used.
Supporting analysis
The financial inputs and material adjustments on which the result depends.
Decision implications
The factors with the greatest influence on the assessment and questions requiring further attention.

The work can be commissioned on its own or as part of a wider transaction assignment. Its use is agreed with the client so the analysis addresses the decision for which it is required.

Market Entry Analysis

A business considering a new market may have several workable routes available. Katmo Group helps compare the alternatives against the company's financial requirements and the position it wishes to establish.

The assessment can examine entry through an acquisition or a partnership with an established operator. It can also consider the preparation needed before either route becomes suitable for an external discussion.

Comparing Entry Routes

We consider the capital a business is prepared to commit and the obligations it would accept in return. For a partnership or minority investment, this includes examining the implications of shared control and identifying matters for agreement with a future partner.

The market's own characteristics form part of the discussion. Where an acquisition is under consideration, we distinguish the cost of entering the market from the investment needed to build a position within it.

Establishing Readiness

Katmo Group assesses the information and management capacity available to support the proposed route. The work identifies where preparation would be needed, including market evidence that requires further development or questions about the resources needed to operate in the new market.

The recommendation brings the alternatives together in a decision framework. It explains the implications of each route and the actions required to pursue it.

Proceed
Define the preparatory work needed to begin discussions with potential targets or partners.
Prepare further
Address the identified gaps before an external process starts.
Reassess later
Identify the market developments that would justify returning to the entry question.

Examples Of Our Work

Papilo’s acquisition of Allwood Recycling Solutions

Papilo acquired Allwood Recycling Solutions in February 2026, extending its waste-management operations. Allwood’s founder remained with the enlarged business following the acquisition.

Katmo Group worked alongside the other advisers appointed to the transaction. The proposed ownership change involved considering the business being transferred and the founder’s continuing position after completion.

The project reflects the decisions addressed through our sale advisory work. An owner’s assessment of an offer includes the proceeds they expect to receive and the commitments they are prepared to retain.

Canford Group’s acquisition of Lemonaid Motor Legal

The acquisition of Lemonaid Motor Legal extended Canford Group’s services across the motor-claim lifecycle in October 2026. Lemonaid continued under its existing brand, with its management team retaining a significant equity interest.

The transaction was supported by a group of advisers that included Katmo Group. Management’s retained shareholding made the future ownership arrangements an important consideration alongside the purchase itself.

As a business-services acquisition, the project connects directly to our sector focus. The commercial assessment needs to account for the customer relationships supporting revenue and the capacity required to deliver the service under new ownership.
